Ex i L ;T (\ / of v <br /> AGREEMENT FOR PURCHASE OF LAND <br /> THIS AGREEMENT entered into at Madison, Wisconsin, by and <br /> between ROBERT VAN DAALWYK ("Seller") and THOMAS DeBECK, JOHN <br /> DeBECK, and MADISON LANDFILLS, INC. " (Buyer") . <br /> THE PARTIES AGREE AS FOLLOWS: <br /> 1. Premises. Seller agrees to sell and Buyer agrees to <br /> buy, the real estate with a street address of 3424 Lake Farm <br /> Road, Madison, WI 53711, the legal description of which is <br /> attached as Exhibit 1 . <br /> 2 . Purchase Price. The total purchase price of the <br /> property shall be the sum of $236, 000 . 00, plus an additional <br /> amount pursuant to paragraph 5 , payable as follows: <br /> A. $30, 000. 00 delivered to Seller concurrently with <br /> execution hereof. <br /> B. $30, 000. 00 to be paid within 30 days after commencement <br /> of construction for a sanitary landfill at the Libby <br /> Landfill Site in the Town of Blooming Grove by the <br /> Buyer. Payment of this amount is subject to Paragraph <br /> 5. <br /> C. The balance of $176, 000 . 00 shall be paid, plus any <br /> additional amounts pursuant to paragraph 5, within 30 <br /> days after the "Libby Landfill Site" is licensed and <br /> refuse is accepted at the site. Payment of this amount <br /> is subject to paragraph 5 . <br /> D. The ownership of the landfill shall have no effect on <br /> the obligations of this Contract. The Buyers are <br /> obligated by the terms of this Contract whether or not <br /> they own or operate the "Libby Landfill" site. <br /> 3 . Access to Land. Upon the signing of this Agreement and <br /> payment of $30, 000. 00, the Buyer shall have access to the <br /> property upon reasonable notice for the purpose of examining and <br /> testing the well on the property. Buyers may also dig test holes <br /> and do other ground testing. The Buyer may, in its discretion <br /> and expense, replace the well with a comparable well elsewhere on <br /> the property and abandon the existing well . The Seller shall be <br /> reimbursed for all damages done to the property as a result of <br /> the tests, examination, or any other work done on the property by <br /> the Buyer. Buyer shall indemnify and hold Seller harmless for <br /> any and all liability with respect thereto, including claims for <br /> damages to person or property as a result thereof. <br />
