The Subdivider further agrees that the Town shall not be <br /> responsible for any costs or charges related to this Agreement and the Improvements except those <br /> specifically enumerated and agreed to in this or other written agreements between the Town and the <br /> Subdivider. <br /> E. Acceptance of Work. <br /> 1. The Town shall inspect the Improvements as they are completed and, if <br /> acceptable to the Town Engineer, certify such Improvements as being in compliance with <br /> the standards and specifications of the Town. Such inspection and certification, if <br /> appropriate and able to be reasonably accomplished by the Town,will occur within fourteen <br /> (14) days of written request by the Subdivider to have the Town inspect any Improvement. <br /> Before obtaining certification of any such Improvement, the Subdivider shall present to the <br /> Town valid lien waivers from all persons providing materials or performing work on the <br /> Improvement for which certification is sought. <br /> 2. The Subdivider further agrees that the dedication of right-of-way <br /> improvements and the required public improvements will not be accepted by the Town until <br /> they have been inspected and approved by the Town Engineer and, furthermore, until all <br /> outstanding Town-incurred costs, including engineering and inspection charges required by <br /> this Agreement, have been paid in full and affidavits and lien waivers are received by the <br /> Town indicating that the contractors and their suppliers have been paid in full for all work <br /> and materials furnished under this contract. <br /> 3. The Subdivider agrees to provide for the maintenance and repair of all <br /> Improvements until such Improvements are accepted by the Town. <br /> 4. The Town will provide reasonable notice to the Subdivider whenever <br /> inspection reveals that an Improvement does not conform to the plans and specifications or <br /> is otherwise defective. The Town's inspection or lack of inspection of Improvements, does <br /> not relieve the Subdivider of its obligation to install the Improvements in full compliance <br /> with this Agreement, the Subdivision Ordinance, and/or the Plans and Specifications. The <br /> Subdivider shall have thirty (30) days from the issuance of such notice to correct or <br /> substantially correct the defect. The Town shall not declare a default under this Agreement <br /> during the 30-day correction period on account of any such defect unless it reasonably <br /> appears to the Town that the Subdivider does not intend to correct the defect or unless the <br /> Town determines that immediate action is required in order to remedy a situation which <br /> poses an imminent health or safety threat. <br /> F. Time of Completion. All work specified herein will be completed within twelve <br /> (12) months after the Subdivider delivers the surety required under Article I, Section M below, to <br /> the Town. <br /> G. Indemnification and Insurance Required of Private Contractors. The <br /> Subdivider hereby expressly agrees to indemnify, and hold the Town, its officers, agents, and <br /> 3 <br />
