all such insurance during the term of this Agreement. The Operator shall furnish annually to the Town and the County a certificate of insurance as evidence of such coverage. 8 . Fencing. Operator will erect and maintain a welded wire fence along the south, west and north perimeters of the CUP area in accordance with the plans filed with the CUP application. This fence will have an overall height of four (4) feet. The Property shall be posted "NO TRESPASSING OR HUNTING" . The fence across the haul road shall have a locking gate which shall be securely locked when the quarry is not in operation. The work will commence when the Operator has all permits necessary to conduct the mineral extraction operation and will be completed within six (6) months, subject to excusable delay for adverse weather and force majeure. 9 . Enforcement. The Town and the County shall have the right to enforce these conditions by the commencement of an action in the Dane County Circuit Court. Prior to commencing such action, the Town or the County agrees to give Operator and Owner thirty (30) days' advance written notice of any alleged material default of these conditions and the Operator and/or Owner shall have the right to cure such alleged material default within such thirty (30) day period, or within such other periods of time as the parties may mutually agree. Substantial efforts by the Operator and/or Owner commenced within the applicable thirty (30) day period which will result in a cure within a reasonably foreseeable period of time shall be deemed a cure for purposes of this Section 9 . If the alleged material default is not cured, the parties agree that the Town or the County will be entitled to seek revocation of the CUP and such equitable or other relief as it may deem appropriate, including, but not limited to, its actual costs and reasonable attorney' s fees. This section is solely for the benefit of the Town and the County. 10 . Right Of Inspection. The Town and the County shall have the right to periodically inspect the Property during normal business hours upon reasonable advance notice to Operator. Such inspection shall not unreasonably interfere with the Operator' s operations and all safety procedures specified by Operator shall be observed by the Town or the County during the inspection. A representative of the Operator must be present during any such inspection. 11. Indemnification. The Operator agrees to indemnify, hold harmless, and defend both the Town and the County, and its respective board members, officers and employees from any and all liability, loss or damage, costs, and expenses that the Town or the County or its respective board members, officers and employees may suffer or sustain as a result of any proceeding, action or claim against the Town or the County arising in any way out of the operation or use of the mineral extraction site.
