2. Assignment . The Zieglers shall not convey, transfer all or any part of the Pro ert r s this sell , or Agreement, without the prior written consent ofBurke, such consent not to be unreasonably delayed or withheld; provided, however, that (1) the Zieglers may transfer the Property and assign this Agreement to a partnership or corporation 100% of whose issued and outstanding interests or stock is owned by the Zieglers if such entity acknowledges and assumes this Agreement and the Zieglers ' duties and obligations hereunder and such entity has the ability, both financially and operationally, to comply with the terms of this Agreement, ( 2) the Zieglers may transfer the Property and assign this Agreement amongst themselves; and ( 3 ) on the death of any of the Zieglers, the Property may he transferred and this Agreement may be assigned to the decendent ' s heirs if such heirs acknowledge and assume this Agreement and the decendent ' s duties and obligations hereunder and such heirs have the ability, both financially and operationally, to comply with the terms of this Agreement . Such written notice shall be received by the Agriculture, Environment & Land Records Committee of Dane County before such committee has its work meeting to consider CUP 788 . 4 . Enforcement . In the event the Zieglers fail to make any payments due to Burke under this Agreement , or materially breach any of the material provisions of this Agreement or the conditions and restrictions set forth in attached Exhibit B made a part hereof, and fail to cure such default within ten (10) days after notice from Burke to the Zieglers specifying such default, then Burke may terminate this Agreement and commence proceedings to revoke CUP 788. If any default by the Zieglers (except for nonpayment of any payments due to Burke under this Agreement ) cannot reasonably be cured within the appropriate 10-day period, then the Zieglers shall have such additional time as is reasonably required to cure such default provided that the Zieglers have commenced to cure such default within the appropriate 10-day period and are diligently proceeding to cure such default . The conditional use permit shall provide that such permit may be revoked by reason of the Zieglers ' uncured default of this Agreement or the conditions and restrictions set forth in attached Exhibit B made a part hereof. 2
