18 . Conflict . The parties shall request that the terms of <br /> this Restated Agreement be incorporated into the terms of any <br /> Amended CUP issued by Dane County for the Property. In the event <br /> there is any conflict between the terms and conditions of this <br /> Restated Agreement with the Amended CUP, the more restrictive terms <br /> and conditions shall prevail and control . <br /> 19 . Annual Fee. During each year that this Restated <br /> Agreement is in full force and effect after the Commencement Date <br /> identified in Section 3, Operator shall pay to the Town an annual <br /> fee of Three Hundred Fifty Dollars ($350 . 00) . This annual fee <br /> shall increase by five percent (5%) over the preceding year's fee <br /> for each year that this Restated Agreement is in full force and <br /> effect . The annual fee for the first year shall be paid on the <br /> Commencement Date and for each subsequent year on the anniversary <br /> of the Commencement Date. In addition, Operator shall pay to the <br /> Town on the Commencement Date an amount equal to all costs and fees <br /> incurred by the Town in connection with Operator's application for <br /> the Amended CUP, including, but not limited to, attorney fees, per <br /> diem meeting fees of Town officials, publication costs, and <br /> overhead expenses . Operator waives any right it might have to <br /> contest the validity of this paragraph and the Town's right to <br /> collect the payments required thereby. <br /> 20 . Incolooa .iun. phis Restated Agreement shall <br /> be incorporated in the Amended CUP when it is granted by Dane <br /> County. <br /> 21 . Successors in Interest . The terms of this Restated <br /> Agreement shall be binding upon the parties, their successors and <br /> assigns . <br /> 22 . Assignment, Transfer, Sale. During the term of this <br /> Restated Agreement, neither Owners nor Operator shall, transfer, <br /> sell, lease or otherwise convey the Property to any other person, <br /> entity, or corporation without the written approval by a resolution <br /> duly adopted by the Town. Such approval shall not be unreasonably <br /> withheld. <br /> 23 . Compliance with Applicable Laws . Owners and Operator <br /> shall comply at all times with the provisions of applicable State <br /> and federal statutes anad regulations and local ordinances which <br /> may in any way relate to the subject matter of the Restated <br /> Agreement . <br /> -8- <br />
