• <br /> • <br /> • <br /> • , 'a <br /> Stokely will inform Blaska if chemicals have been used <br /> in the production of the crop from which the corn silage, corn <br /> leachate and corn screened solids is derived, which, in the <br /> estimation of Stokely, would render these by-products unfit for use <br /> as animal feed or components of animal feed. Stokely will instruct <br /> Blaska as to the disposition of any such by-products and will pay <br /> Blaska its actual cost in making such disposition. At Stokely's <br /> election, it may contract the disposition of any such by-products <br /> with any third party able to dispose of it at a cost lower than <br /> Blaska's or it may dispose of the same itself. <br /> Stokely disclaims all warranties as to all by-products <br /> produced at its Sun Prairie plant, whether expressed or implied, <br /> and makes no warranties or representations as to the fitness of any <br /> such by-products for use as animal feed or components of animal <br /> feed. Blaska assumes all risk involved in the resale of any such <br /> by-products as animal feed or as a component of animal feed and <br /> shall hold Stokely harmless from claims of any third party which <br /> arise from that party's purchase or use of such by-products from <br /> Blaska, its agents, assigns or successors in interest. <br /> 3 . Blaska will design, develop and construct one or more <br /> corn silage and corn leachate pits on property which it owns which <br /> is located east of the Sun Prairie plant. Such pits will be of <br /> sufficient size to accommodate the storage and disposition of all <br /> corn silage and corn leachate produced by Stokely at its Sun <br /> Prairie plant during the term of this agreement. These pits shall <br /> be designed and constructed to minimize odor particularly as it <br /> may affect adjoining landowners and will be managed by Blaska with <br /> the same purpose in mind. <br /> 4. Blaska will provide trucks and drivers in sufficient <br /> numbers to receive and remove all corn silage, corn leachate and <br /> corn screened solids as produced at Stokely's plant during the term <br /> of this agreement, and shall do so in such manner as to cause no <br /> delay, interruption or interference in the operation of the plant. <br /> If Blaska fails to comply with this covenant, Stokely may contract <br /> for such additional service as Stokely deems necessary to ensure <br /> the continuous, uninterrupted operation of its plant during the <br /> corn pack. The reasonable cost incurred by Stokely in this regard <br /> shall become the responsibility of Blaska and, if paid by Stokely, <br /> may be deducted by Stokely from amounts due Blaska otherwise under <br /> the terms of this agreement. <br /> 5. Stokely will at all times be in compliance with all <br /> federal, state or local laws, regulations, ordinances, codes or <br /> 2 <br />
