2. Assignment. The Zieglers shall not convey, sell , or <br /> transfer all or any part of the Property, nor assign this <br /> Agreement, without the prior written consent of Burke, such <br /> consent not to be unreasonably delayed or withheld; provided, <br /> however, that (1) the Zieglers may transfer the Property and <br /> assign this Agreement to a partnership or corporation 100% of <br /> whose issued and outstanding interests or stock is owned by the <br /> Zieglers if such entity acknowledges and assumes this Agreement <br /> and the Zieglers ' duties and obligations hereunder and such <br /> entity has the ability, both financially and operationally, to <br /> comply with the terms of this Agreement, ( 2) the Zieglers may <br /> transfer the Property and assign this Agreement amongst <br /> themselves; and ( 3 ) on the death of any of the Zieglers, the <br /> Property may be transferred and this Agreement may be assigned to <br /> the decendent ' s heirs if such heirs acknowledge and assume this <br /> Agreement and the decendent ' s duties and obligations hereunder <br /> and such heirs have the ability, both financially and <br /> operationally, to comply with the terms of this Agreement. <br /> Consent given by Burke to any one assignment shall not be deemed <br /> to be a consent given with respect to any other proposed <br /> assignment. <br /> 3 . Granting of Local Approval. Upon approval and <br /> execution of this Agreement by Burke, Burke shall give written <br /> notice to the Agriculture, Environment & Land Records Committee <br /> of Dane County of Burke' s approval of CUP 788 on the terms and <br /> subject to the conditions of the Agreement. Such written notice <br /> j shall be received by the Agriculture, Environment & Land Records <br /> Committee of Dane County before such committee has its work <br /> meeting to consider CUP 788 . <br /> 4. Enforcement . In the event the Zieglers fail to make <br /> any payments due to Burke under this Agreement, or materially <br /> breach any of the material provisions of this Agreement or the <br /> conditions and restrictions set forth in attached Exhibit B made <br /> a part hereof, and fail to cure such default within ten (10) days <br /> after notice from Burke to the Zieglers specifying such default , <br /> then Burke may terminate this Agreement and commence proceedings <br /> to revoke CUP 788. If any default by the Zieglers (except for <br /> nonpayment of any payments due to Burke under this Agreement ) <br /> cannot reasonably be cured within the appropriate 10-day period, <br /> then the Zieglers shall have such additional time as is <br /> reasonably required to cure such default provided that the <br /> Zieglers have commenced to cure such default within the <br /> appropriate 10-day period and are diligently proceeding to cure <br /> such default. <br /> The conditional use permit shall provide that such <br /> permit may be revoked by reason of the Zieglers ' uncured default <br /> of this Agreement or the conditions and restrictions set forth in <br /> attached Exhibit B made a part hereof. <br /> 2 <br /> /701) <br />
