COUNTY OF DANE <br /> Purchase of Services Agreement <br /> Number of Pages, including schedules: <br /> Agreement No. lasts <br /> Expiration Date: December 31, 2015 <br /> Authority: Res. <br /> Department: Planning & Development <br /> Maximum Cost: $2,200 <br /> Registered Agent: Todd Violante - <br /> Address: 210 Martin Luther King, Jr. BLVD, Room <br /> 116, Madison, WI 53703 <br /> THIS AGREEMENT, made and entered into, by and between the County of Dane(hereafter <br /> referred to as "COUNTY") and Town of Albion (hereafter, "RECIPIENT"), <br /> WITNESSETH : <br /> WHEREAS RECIPIENT, whose address is 620 Albion Rd., Edgerton 53534 <br /> desires to purchase services from COUNTY for the purpose of Comprehensive Planning ; and <br /> WHEREAS COUNTY, whose address is 210 Martin Luther King, Jr. BLVD, Room 116, <br /> Madison,WI 53703 , is able and willing to provide such services; <br /> NOW, THEREFORE, in consideration of the above premises and the mutual covenants of <br /> the parties hereinafter set forth, the receipt and sufficiency of which is acknowledged by each <br /> party for itself, RECIPIENT and COUNTY do agree as follows: <br /> 1. The term of this Agreement shall commence as of the date by which all parties hereto have <br /> executed this Agreement and shall end as of the EXPIRATION DATE set forth on page 1 <br /> hereof, unless sooner agreed to by the parties. <br /> 2: COUNTY agrees to provide the services detailed in the attached Schedule A, incorporated <br /> herein by reference. <br /> 3. COUNTY shall not assign or transfer any interest or obligation in this Agreement, whether by <br /> assignment or novation, without the prior written consent of RECIPIENT unless permitted <br /> otherwise by the provisions of Schedule A. Notice of any such assignment or transfer shall <br /> be furnished promptly to RECIPIENT. <br /> 4. If, through any cause, COUNTY shall fail to fulfill in timely and proper manner its obligations <br /> under this Agreement, or if COUNTY shall violate any of the covenants or stipulations of this <br /> Agreement, RECIPIENT shall thereupon have the right to terminate this Agreement by <br /> giving a thirty (30) day written notice to COUNTY of such termination and specifying the <br /> effective date thereof. There shall be no other termination of this Agreement, during its <br /> term, without the prior written consent of both parties unless specifically permitted otherwise <br /> by Schedule A. <br /> Last revised: 08/10/2015 1 <br />
