subcontracts, subgrants, and contracts under grants, loans, and cooperative <br />agreements) and that all subrecipients shall certify and disclose accordingly. <br />XII. ASSIGNMENT AND TRANSFER <br />SUBRECIPIENT shall neither assign nor transfer any interest or obligation in this <br />Agreement without the prior written consent of COUNTY, unless otherwise provided <br />herein. Claims for money due to SUBRECIPIENT from COUNTY under this Agreement <br />may be assigned to a bank, trust company, or other financial institution without COUNTY <br />consent, if and only if, the instrument of the assignment provides that the right of the <br />assignee in and to any amounts due or to become due to SUBRECIPIENT shall be <br />subject to prior claims of all persons, firms, and corporations for services rendered or <br />materials supplied for the performance of the work called for in this Agreement. <br />SUBRECIPIENT shall furnish COUNTY with notice of any such assignment or transfer. <br />XIII. CONFIDENTIALITY <br />A. SUBRECIPIENT agrees to comply with all pertinent Federal and State statutes, rules, <br />regulations, and county ordinances related to confidentiality. Further, COUNTY and <br />SUBRECIPIENT agree that:. <br />1. Client specific information, including, but not limited to, information which <br />would identify any of the individuals receiving services under this Agreement, <br />shall at all times remain confidential and shall not be disclosed to any <br />unauthorized person, forum, or agency except as permitted or required by <br />law. <br />2. SUBRECIPIENT knows and understands that it is not entitled to any client <br />specific information unless it is released to persons who have a specific need <br />for the information which is directly connected to the delivery of service to the <br />client under the terms of this Agreement and only where such persons require <br />the requested information to carry out official functions and responsibilities. <br />3. Upon request from COUNTY and/or HUD, client specific information, shall be <br />exchanged between SUBRECIPIENT and COUNTY and/or HUD consistent <br />with applicable federal and state statutes, for the following purposes: <br />a. Mandated reporting to HUD; <br />b. Meeting HUD monitoring requirements; <br />C. Fiscal and program audits and evaluations. <br />4. Health Insurance Portability and Accountability Act of 1996 (HIPAA) Applicability. <br />The SUBRECIPIENT agrees to comply with the federal regulations implementing <br />the Health Insurance Portability and Accountability Act of 1996 (HIPAA) to the <br />extent those regulations apply to the services the SUBRECIPIENT provides or <br />purchases with funds provided under this contract. <br />XIV. CONFLICT OF INTEREST <br />SUBRECIPIENT agrees to comply with the provisions of 24 CFR 570.611 and Sec. <br />946.13 regarding conflict of interest, as well as, the ethics requirements for local public <br />officials set forth in s. 19.59 Wis. Stat. Among the major requirements of 24 CFR <br />570.611 are: <br />Page 8 <br />
