Drainage from the site to neighboring land shall not be <br /> altered from that which exists as of the date of this Agreement. <br /> 10 . Access roads and haul roads shall be maintained in a <br /> dust free condition. The operation shall be conducted in <br /> conformance with the air quality regulations of the State of <br /> Wisconsin. <br /> 11 . There shall be only one entrance to the site. <br /> 12 . Madison Sand shall guarantee that any wells in the <br /> immediate vicinity of the operation which go dry or become <br /> contaminated due to the extraction operation shall be replaced at <br /> no cost to the well owner. Additionally, Owners and/or Madison <br /> Sand hereby agree to indemnify and save harmless the Town of <br /> Vienna, its agents, representatives, Board members, officers, and <br /> employees from any and all liability, loss or damage, costs, <br /> attorneys' fees and expenses that the Town or its agents, <br /> representatives, Board members, officers, and employees suffer as <br /> a result of any proceeding, action, claim, or demand against it <br /> arising in any way out of the operation, use, and/or grant of <br /> conditional use permit for the extraction operation, regardless <br /> whether such liability is caused in part and/or in whole by the <br /> negligence of the Town, its agents, representatives, Board <br /> members, officers, and employees. This Agreement to indemnify <br /> shall run with the extraction operation site and be perpetual. <br /> 13 . Madison Sand shall be held solely responsible for full <br /> compliance with these conditions, and those of the Dane County <br /> Zoning Ordinances, Section 10 . 126, which include, but are not <br /> limited to, operation and reclamation. 5 198'1 <br /> -3- <br />
