14 . Enforcement: The parties agree that the Town shall have <br /> • the right to enforce this Agreement by the commencement of an <br /> action in Dane County Circuit Court. However, prior to <br /> commencing such action, the Town agrees to give Owners and <br /> Madison Sand fifteen (15) days written notice of any <br /> noncompliance which the Town alleges or considers to be a default <br /> under the terms of this Agreement and Owners and/or Madison Sand <br /> shall have the right to cure such default within the fifteen ( 15) <br /> day period, or within such time as the parties may agree. If <br /> such default is not cured, the parties agree that the Town shall <br /> be entitled to seek such equitable or other relief as it may deem <br /> appropriate . <br /> 15 . Conditional Use: The terms of this Agreement shall be <br /> incorporated upon the granting of a conditional use permit. <br /> 16 . Successors in Interest: The terms of this Agreement <br /> shall be binding upon the successors and assigns of the Owners <br /> and Madison Sand. <br /> 17 . Assignment, Transfer, Sale: During the term of this <br /> Agreement neither the Owners nor Madison Sand shall transfer, <br /> sell, lease or otherwise convey the property upon which the <br /> mineral extraction site is to be located to any other person, <br /> entity or corporation, nor shall Madison Sand assign or transfer <br /> this Agreement to any other person , entity, or corporation, <br /> without the express approval by resolution duly adopted by the <br /> Town of Vienna. Such approval shall not be unreasonably <br /> withheld. <br /> 18 . Compliance with Applicable Laws: Owners and Madison <br /> Sand shall comply at all times with the provisions of applicable <br /> -4- NOV 0 5 14R�t. <br />
