NOW, THEREFORE, in consideration of the above premises and the mutual covenants of the <br />parties hereinafter set forth, the receipt and sufficiency of which is acknowledged by each party <br />for itself, COUNTY and SUBRECIPIENT do agree as follows: <br />TERM <br />The term of this Agreement shall commence as of the Agreement Begin Date and shall <br />end as of the Agreement Expiration Date, both of which are set forth on page one (1) <br />hereof. SUBRECIPIENT shall complete its service obligations under this Agreement not <br />later than the Agreement Expiration Date. COUNTY shall not be liable for any services <br />performed by SUBRECIPIENT other than during the term of this Agreement. COUNTY <br />shall never pay more than the Maximum Cost as state above for all services. <br />II. SERVICES <br />A. SUBRECIPIENT agrees to provide the services detailed in the attached Schedule A, <br />which is fully incorporated herein by reference. <br />B. SUBRECIPIENT shall furnish the services contained in and comply with the <br />performance and productivity requirements contained in the Schedule A and <br />"Program Summary" document, if attached hereto. <br />C. SUBRECIPIENT agrees to cooperate with departments, agencies, employees, and <br />officers of COUNTY and HUD in providing the services described herein. <br />D. SUBRECIPIENT agrees to secure at SUBRECIPIENT'S own expense all personnel <br />necessary to carry out SUBRECIPIENT'S obligations under this Agreement. Such <br />personnel shall not be deemed to be employees of COUNTY. SUBRECIPIENT shall <br />ensure SUBRECIPIENT'S personnel are instructed that they will not have any <br />contractual relationship with COUNTY. COUNTY shall not participate in or have any <br />authority over any aspect of SUBRECIPIENT'S personnel policies and practices, and <br />shall not be liable for actions arising from such policies and practices. <br />E. SUBRECIPIENT warrants that is has complied with all necessary requirements to do <br />business in the State of Wisconsin, and that the persons executing this Agreement <br />on its behalf are authorized to do so. <br />F. SUBRECIPIENT shall notify COUNTY immediately, in writing, of any change in its <br />registered agent, his or her address, and/or SUBRECIPIENT'S legal status. For a <br />partnership, the term "registered agent" shall mean a general partner. <br />G. SUBRECIPIENT understands that time of the essence. <br />H. Unless, specified differently herein, a SUBRECIPIENT shall maintain a consistent <br />volume of service delivery throughout the months of this Agreement as determined <br />by the COUNTY. <br />Page 2 <br />
