pertinent to the orderly development and use of all <br />lands lying within the Yellow Zone. The Board shall be <br />comprised of five (5) members consisting of two (2) <br />members from the Town or Town Utility District, two (2) <br />members from the Village and one (1) member from the <br />DeForest, Vienna -Windsor Growth Corporation who shall <br />be chosen as provided at paragraph VI.B. of this <br />Agreement. The terms of the Board Members shall be for <br />two (2) years, commencing with the date of this <br />Agreement. <br />B. The Growth Corporation shall submit three (3) names, <br />drawn from its Board of Directors, to the Village Board <br />and Town Board. Both the Village Board and Town Board <br />will agree on one (1) nominee. Upon agreement, the <br />nominee shall serve on the Joint Industrial/ Commercial <br />Development Zone Board. <br />C. The Board shall meet at least once a year to discuss <br />the status, use and development of lands lying within <br />the Yellow Zone. A written annual report containing <br />the Board's recommendations for use and development of <br />the lands shall be submitted by the Board to the Town <br />and Village. These recommendations are advisory only <br />and are not binding upon the parties hereto. <br />D. The Board shall meet at any time there is a request for <br />land use within the Yellow Zone. The Board shall <br />review the proposed land use and present a written <br />report to the Town and Village. <br />E. The Village and Town agree in principle that a joint <br />extra territorial zoning ordinance should be developed <br />to assist the Board in advising on land use in the <br />Yellow Zone. Both the Town and the Village agree to <br />cooperate with each other in the development and <br />enactment of such a joint ordinance which would assure <br />the orderly development of the entire area encompassed <br />by the Yellow Zone. <br />VII. DISMISSAL OF ACTION <br />Upon execution of this Agreement, the parties hereby <br />stipulate and agree that this Agreement constitutes the <br />settlement of the litigation challenging the validity of the <br />annexation ordinance designated as Ordinance No. 88-8 and that <br />this stipulation shall be deemed to be the agreement of the <br />parties to the relocation and establishment of the common <br />boundary lines between Town and the Village pursuant to and in <br />Date 61-1/'✓ / �y <br />10 of 14 <br />
