parties. The life of this Agreement shall be indefinite, except that it may be terminated as follows: A. By mutual Agreement of the parties; or B. At the option of any party after an initial ten (10) year term of this Agreement and with written notice of at least one (1) year prior to a proposed termination date. XI. SURVIVORSHIP OF CERTAIN PROVISIONS OF THIS AGREEMENT Notwithstanding the provisions contained in paragraph X. of this Agreement for its termination, the provisions of paragraphs IV. and V. hereof shall remain in full force and effect until terminated by mutual written agreement of the parties. With respect to any areas to which sewer service or water service has been extended pursuant to the terms of this Agreement, such areas shall continue to be so serviced according to the terms of this Agreement, notwithstanding the termination of this Agreement in any manner. XII. MISCELLANEOUS A. CONFLICTING ORDINANCES In the event of any conflict between this Agreement and any ordinance, regulation, resolution or order issued by the parties, the provisions of this Agreement shall be given precedence. B. SEVERABILITY If any term, covenant, condition or provision of this Agreement shall be construed to be illegal, invalid or unenforceable, such term, covenant, condition or provision shall be deemed stricken and deleted herefrom to the same extent and effect as if never incorporated herein, but all other terms, covenants, conditions or provisions of this Agreement shall continue in full force and effect. C. CONSTRUCTION The language of this Agreement shall, in all cases, be construed according to its ordinary meaning, and not strictly for or against the Town, Village or Town Utility District.
